I think you mean Sony? Fox has the X-Men franchise.
As for Spider-Man being in a Marvel film.... Feige said that anything that wasn't revealed today is just rumor or completely untrue.
Having him as part of a marvel movie would be an event.
Also,
I liked the first two Maguire Spider-Man's and I liked The Amazing Spider-Man. The last one was just too much. They basically repeated what Raimi did in Spider-Man 3 but having too many villains to develop.
It would be, and I do love Spider-Man, but it's exciting to see these new characters and stories.

I think they'll do great stuff with them.
Spoiler/speculation on a comic story that's probably 10 years old: I've been wondering if they're doing the Captain America: Civil War movie as a way to get rid of RDJ. Reverse of the comic story, instead of Steve Rogers dying, maybe Stark dies. Clears up any contract issues with him in the future and they can then cast someone else to replace him to keep the character alive.
