They originally ruled a td earlier than the one the Giants scored to go ahead despite the fact that the receiver was obviously touched when he was on the ground. It was of course an easy overturn. However, if the Giants' offense had to run 40 yards downfield and get set to run the next play before the play clock expired, it would have taken some significant time leaving Carolina much less time to get the necessary yards to kick that game winning field goal.

One of two things would have happened afterwards if they got it right without a replay overturn. They either would have scored with less time on the clock and had a better chance of winning, or they would not have scored and lost, which they did anyway.
