Seattle wants a first rounder for him. He carries $17M cap hit this year I’d guess due to Franchise tag. He’d-definitely improve the defense. Would Seattle do it for 37? Would it be wise of Giants to trade 17 for Seattle’s first and Clark, or Seattle’s 2nd and Clark?

Correct. It was a non-exlusive franchise tag so he can negotiate with other teams but if he signs with the Giants and Seattle let's him go, the Giants would have to give up 2 first round picks for him.
Also, the Giants can't afford him. They have roughly $10M in cap space and draft picks to sign. Even if they made some contract re-structures, it would be too tough to pull off.

They could negotiate a trade that does not include 2 firsts... if someone wants to outright sign him away from Seattle without negotiating it cost two first.

The Seahawks can negotiate a trade and trade him for anything they want.
Also the cap space is the least of the problems. They wouldn't trade for him without a long term deal. So they could backload the contract and have a small cap hit this year.

They have a ton of 2020 and beyond cap room. There’s ways to structure a contract creatively and get it done ... and he is just entering his prime, not a “one player away” type move. More of a foundational piece that’s still young and already proved he’s an elite performer
Eventually that talent is going to get paid ... I would not mind an elite mid 20s pass rusher added - especially 1 that has proven he’s great at this level
